Philippine Securities and Exchange Commision
The Philippine Securities and Exchange Commission (“PSEC”) is the government agency that regulates registration of securities, analysis of every registered security, evaluation of the financial condition and operations of applicants for security issue, screening of applications for broker's or dealer's license and supervision of stock and bond brokers as well as the stock exchanges in the Philippines. PLDT complies with PSEC’s Memorandum Circular No.2 Series of 2002.
Philippine Stock Exchange
The Philippine Stock Exchange, Inc. (“PSE”) is a private organization that provides and ensures a fair, efficient, transparent and orderly market for the buying and selling of securities in the Philippines.
US Securities and Exchange Commission
The primary mission of the U.S. Securities and Exchange Commission (“U.S. SEC”) is to protect investors and maintain the integrity of the securities markets. The U.S. SEC also oversees other key participants in the securities world, including stock exchanges, broker-dealers, investment advisors, mutual funds, and public utility holding companies. For the U.S. SEC, PLDT is bound to comply with the Sarbanes-Oxley Act of 2002 specifically Section 404 thereof.
NYSE Final Corporate Governance Rules
The New York Stock Exchange (“NYSE”) is the world's leading and most technologically advanced equities market. A broad spectrum of market participants, including listed companies, individual investors, institutional investors and member firms, create the NYSE market. On an average day, 1.46 billion shares, valued at $46.1 billion, trade on the NYSE. PLDT is specifically bound by NYSE Corporate Governance Rule Section 303A.
